Title:  Corporate Counsel, North America, Legal

Kemira Legal ensures the high-quality execution of legal matters and internal auditing in a cost-efficient manner, while promoting a culture of compliance within the company. We are seeking a Corporate Counsel to join our Americas’ legal team in its Atlanta, Georgia location.  Reporting to the General Counsel, Americas, you will have primary responsibility for corporate governance, drafting and negotiating agreements, draft and negotiate various commercial agreements and act as direct contact for and interact with business clients.

 

The key responsibilities include:

  • Corporate Governance:
    • Prepare Written Consents of the Board and Shareholder of Kemira entities for various corporate actions including Written Consents in Lieu of an Annual Meeting and maintain corporate records;
    • Manage Annual Report filings for all NA corporate legal entities;
    • Ensure compliance with Kemira’s Group Subsidiary Governance Policy;
    • Maintain corporate minute books;
    • Assist with foreign qualifications and requirements for Kemira entities to do business in new jurisdictions;
    • Obtain certificates of good standing and certificates of existence as needed; and
    • Draft and prepare officer’s certificate certifying signature authority
  • Draft, negotiate, and finalize confidentiality agreements and commercial agreements for all business segments and functions on wide range of commercial legal matters, using Kemira templates.
  • Assist in updating legal templates
  • Manager on line web based legal trainings
  • Periodically, as needed, work on real estate matters (under supervision of internal and external counsel).
  • Assist with special projects as assigned

    What you need: 
  •  J.D. degree from an accredited law school
  • Licensed to practice law in the State of Georgia
  • 3 – 4 years of experience in the legal practice, with the majority in a corporate or transactional role
  • Experience in corporate legal work
  • Experience in drafting, reviewing and negotiating a wide range of commercial agreements and corporate work
  • History of job stability
  • Experience drafting and negotiating confidentiality agreements and other commercial agreements.
  • Strong understanding of basic contract principles
  • Ability to work well and collaborate with colleagues and all levels of commercial and business functions and work in a multicultural environment
  • Ability to work well independently without direction and identify opportunities to create and improve processes
  • Highly developed organizational and analytical skills
  • Excellent writing ability and strong interpersonal communication skills
  • Results-oriented approach, personal and organizational accountability and a collegial work style
  • Must comply with safety rules and regulations and apply them to daily work routines for personal safety and the safety of others
  • Capability to demonstrate principled leadership and sound business ethics. Shows consistency among values and builds trust with others through building credibility and follow-through on commitments

  • Strong computer skills - Power Point, Word, online research tools, practice technology tools such as contract management system, legal intranet and other databases
